Important scope note: These Terms govern use of Q-Tech's public website and website-based features. Engineering projects, procurement, smart metering, software platforms and other paid services may be subject to separate quotations, licenses, service terms or contracts.

Welcome to the website of Q-Tech Nigeria Limited ("Q-Tech", "we", "our" or "us"). These Terms of Service ("Terms") govern your access to and use of our public website, including any webpages, forms or website-based features that link to these Terms (collectively, the "Website").

By accessing, browsing or using the Website, you acknowledge that you have read, understood and agreed to these Terms. If you do not agree, you must discontinue use of the Website. Where you use the Website on behalf of a company, government body or other organisation, you confirm that you have authority to bind that organisation to these Terms.

1. About Q-Tech

Q-Tech Nigeria Limited is an Engineering, Procurement and Construction (EPC) company providing electrical engineering, power infrastructure, renewable and hybrid energy, smart metering, energy-management technology, consulting, maintenance and related services.

2. Scope of These Terms

These Terms apply to use of the Website and to communications or enquiries initiated through the Website. They do not, by themselves, create a contract for the supply of any engineering work, equipment, software, metering service, consultancy, procurement service or other paid service.

Access to Q-Tech software platforms, portals or applications, including PowerTrack, VoltVend and e-Meter Track, may be subject to separate platform terms, licence conditions, acceptable-use rules, service-level agreements or customer contracts.

Where you enter into a quotation, proposal, purchase order, letter of award, licence, service agreement, project contract or other written arrangement with Q-Tech, that separate arrangement will govern the relevant transaction. If it conflicts with these Terms, the separate written arrangement will prevail to the extent of the conflict.

3. Eligibility and Authority

The Website is intended primarily for persons who are at least 18 years old and for authorised representatives of organisations. By using the Website, you confirm that you have the legal capacity and authority required for your use and that you will comply with all applicable laws and regulations.

4. Permitted Use of the Website

Q-Tech grants you a limited, non-exclusive, non-transferable, revocable permission to access and use the Website for lawful personal or internal business purposes, subject to these Terms.

You must not:

  • use the Website for any unlawful, fraudulent, misleading, harmful or unauthorised purpose;
  • attempt to gain unauthorised access to any account, system, server, database or network connected to the Website;
  • introduce viruses, malware, malicious code or any technology intended to disrupt, damage or compromise the Website;
  • interfere with the availability, operation, integrity, performance or security of the Website;
  • scrape, crawl, data-mine or use automated tools to extract Website content without our prior written permission, except where permitted by law;
  • impersonate Q-Tech, any Q-Tech employee, another user or any other person or organisation;
  • remove proprietary notices or reproduce, modify, distribute, sell or commercially exploit Website content without permission; or
  • use information obtained through the Website to send unsolicited marketing, spam or other unauthorised communications.

5. Accounts and Access Credentials

Where any part of the Website requires an account, you must provide accurate information and keep your login credentials confidential. You are responsible for activity carried out through your account unless the activity results from a security failure attributable to Q-Tech. You must notify us promptly if you suspect unauthorised access, loss of credentials or another security incident.

We may require password changes, multi-factor authentication or other reasonable security measures. We may restrict or suspend access where necessary to protect users, Q-Tech, our systems or third parties.

6. Website Information and No Professional Advice

Website content is provided for general information and business communication. It does not constitute engineering design, electrical safety advice, regulatory advice, financial advice, procurement advice or another form of professional recommendation for a specific site, system or project.

Technical requirements and project recommendations depend on matters such as site conditions, load assessment, utility availability, approved designs, applicable standards, equipment specifications, safety requirements and the agreed scope of work. You should not act on general Website content as a substitute for a site-specific assessment or formal professional advice.

7. Products, Services and Availability

Descriptions, photographs, specifications, features, performance information, project examples and other materials concerning Q-Tech products or services are illustrative unless expressly stated otherwise. Availability, configuration, pricing, delivery periods and specifications may change without prior notice. Past projects, case studies and stated outcomes do not guarantee identical results for another customer, site or operating environment. Any project outcome will depend on the approved design, implementation conditions, customer cooperation, third-party dependencies and other relevant factors.

8. Enquiries, Quotations and Proposals

Submitting a contact form, request for quotation, project brief, application or other enquiry does not oblige Q-Tech to provide a service and does not create a contractual relationship.

Unless the relevant document expressly states otherwise, quotations, proposals, estimates and indicative timelines:

  • are subject to technical evaluation, site assessment and confirmation of scope where applicable;
  • may depend on equipment availability, exchange rates, taxes, duties, regulatory charges, utility requirements and third-party costs;
  • remain valid only for the period stated in the relevant document;
  • may be corrected where they contain an obvious typographical, calculation or administrative error; and
  • become binding only when accepted in the manner specified by Q-Tech or through a signed agreement, accepted purchase order, letter of award, payment, mobilisation instruction or other documented acceptance recognised by Q-Tech.

The terms of an accepted quotation, proposal or project agreement will govern the relevant supply or project. Nothing on the Website constitutes a public offer capable of acceptance unless Q-Tech expressly states otherwise.

9. Electronic Communications

When you contact Q-Tech electronically, you consent to receive responses, notices and records electronically at the contact details you provide. You are responsible for ensuring that those details remain accurate and that you can receive our communications. Electronic communications may satisfy requirements for written communications to the extent permitted by applicable law and the relevant contract.

10. Intellectual Property

The Website and its content, including the Q-Tech name, logos, trademarks, text, graphics, photographs, videos, technical materials, reports, software, source code, interfaces, designs, icons and databases, are owned by or licensed to Q-Tech and are protected by applicable intellectual-property laws.

Except for the limited permission granted under these Terms, no right, title or interest in the Website or its content is transferred to you. You may download or print reasonable extracts for legitimate personal or internal business review, provided that you do not modify them, remove proprietary notices, publish them externally or use them commercially without our prior written consent.

Product and platform names, including PowerTrack, VoltVend and e-Meter Track, together with associated documentation, interfaces and branding, remain the property of Q-Tech or the relevant rights holder.

11. User Submissions

You may provide information through contact forms, quotation requests, recruitment applications, support channels or other Website features ("Submissions"). You confirm that each Submission is accurate to the best of your knowledge, lawful, not misleading and provided with all necessary permissions.

You grant Q-Tech a non-exclusive permission to receive, store, reproduce, review, use and disclose a Submission only as reasonably necessary to respond to your request, assess an opportunity, prepare a quotation, provide support, administer recruitment, maintain business records, comply with legal obligations or perform an agreed service. Personal information will be handled in accordance with our Privacy Policy and applicable law.

Unless Q-Tech has agreed otherwise in writing, feedback, ideas or suggestions voluntarily submitted about the Website or our services may be used by Q-Tech to improve our operations, products or services without creating an obligation to compensate you. This does not transfer ownership of your confidential information or personal data to Q-Tech.

12. Confidential and Sensitive Information

Do not submit confidential, classified, commercially sensitive, payment-card, security-related, special-category personal or other highly sensitive information through a general Website form unless Q-Tech has specifically requested it and identified an approved channel for transmission.

Where Q-Tech receives information under a separate non-disclosure agreement, project contract or other confidentiality arrangement, that arrangement will govern the information concerned.

13. Privacy and Cookies

Our collection and use of personal information are governed by the Q-Tech Privacy Policy. The Website may also use cookies or similar technologies as described in our Cookie Policy or cookie notice. These documents should be read together with these Terms.

Where you provide personal information about another person, you confirm that you are authorised to do so and that you have provided any notices or obtained any consents required by law.

14. Third-Party Links, Tools and Content

The Website may include links to third-party websites, services, maps, social-media pages, payment providers, embedded content or other external resources. These are provided for convenience and do not necessarily indicate endorsement by Q-Tech.

Q-Tech does not control third-party resources and is not responsible for their availability, content, security, privacy practices, terms or services. Your use of a third-party resource is governed by the third party's terms and policies.

15. Website Availability, Maintenance and Security

We may update, maintain, modify, restrict, suspend or discontinue any part of the Website for operational, security, legal or business reasons. We do not guarantee that the Website will always be available, uninterrupted, error-free or compatible with every device, browser or network.

Q-Tech uses reasonable measures intended to protect the Website and information submitted through it. However, no internet-based system is completely secure. You are responsible for using appropriate device security, maintaining backups and exercising caution when transmitting information online.

16. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Website and its content are provided on an "as is" and "as available" basis. Q-Tech does not make any express or implied warranty that the Website will be uninterrupted, error-free, completely secure, free from harmful components or suitable for a particular purpose.

Although we seek to provide accurate and current information, we do not warrant that every item of Website content is complete, accurate, current or free from error. Nothing in these Terms excludes any warranty, duty, right or remedy that cannot lawfully be excluded.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Q-Tech will not be liable for indirect, incidental, special, punitive or consequential loss arising solely from use of, or inability to use, the Website, including loss of profit, revenue, opportunity, goodwill, anticipated savings, business interruption or data.

Q-Tech will not be liable for loss resulting from reliance on general Website information instead of obtaining a site-specific assessment, approved design or formal professional advice. Liability relating to paid products, projects, software or services will be governed by the applicable quotation, licence, service agreement or project contract.

Nothing in these Terms limits or excludes liability for fraud, fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be limited or excluded.

18. Indemnity

To the extent permitted by law, you agree to indemnify Q-Tech and its directors, officers, employees and representatives against third-party claims, losses and reasonable costs to the extent caused by your unlawful use of the Website, material breach of these Terms, infringement of another person's rights or unauthorised content submitted by you.

This clause does not require you to indemnify Q-Tech for loss caused by Q-Tech's own negligence, fraud or wilful misconduct.

19. Suspension and Termination

We may restrict, suspend or terminate access to all or part of the Website where we reasonably believe that a user has breached these Terms, created a security risk, infringed third-party rights, acted unlawfully or exposed Q-Tech or another person to harm or liability.

Provisions concerning intellectual property, disclaimers, liability, indemnity, governing law and any rights or obligations that by their nature should survive will continue after termination of access.

20. Events Beyond Reasonable Control

Q-Tech will not be responsible for delay, interruption or failure affecting the Website where caused by circumstances beyond our reasonable control, including utility failure, telecommunications disruption, cyberattack, natural disaster, civil disturbance, government action, industrial dispute or failure of a third-party hosting or infrastructure provider, provided that this clause does not exclude liability that cannot lawfully be excluded.

21. Changes to the Website or These Terms

We may update the Website and revise these Terms from time to time. The revised version will be published on the Website with an updated effective date. Changes will apply prospectively from the stated effective date unless applicable law requires otherwise.

Where a change materially affects an account-based or paid service, Q-Tech may provide additional notice or request renewed acceptance. Continued use of the Website after revised Terms become effective constitutes acceptance of the revised Terms.

22. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles.

Before commencing court proceedings concerning these Terms, a party should give the other written notice of the dispute and allow a reasonable opportunity for good-faith resolution. Where the dispute is not resolved, the competent courts of Nigeria will have jurisdiction, subject to any mandatory legal right to bring proceedings in another forum.

Any separate project, procurement, software or service agreement may contain its own dispute-resolution procedure, which will govern disputes arising under that agreement.

23. Severability, Waiver and Assignment

If any provision of these Terms is held to be invalid, unlawful or unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect.

A failure or delay by Q-Tech to enforce a provision is not a waiver of that provision or any other right. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Q-Tech may assign these Terms in connection with a merger, restructuring, sale of business or transfer to an affiliate, subject to applicable law.

24. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy and any additional terms expressly incorporated by reference, constitute the agreement between you and Q-Tech concerning use of the Website. They supersede prior communications concerning Website use, but do not replace or amend a separate written agreement for a Q-Tech product, platform, project or service.
